ARTICLE I - Name
The name of this organization shall be THE KOREAN ROAD RUNNERS CLUB, (hereinafter referred to as the "KRRC"), a non-profit organization (tentative), operated under the laws of the state of New York.
ARTICLE II - Purpose
KRRC shall promote and encourage running and relative activities and shall educate the public to their benefit. KRRC shall promote and maintain competitive and noncompetitive activities for its members and for the general public.
ARTICLE III - Members
Sec. 1: Eligibility. Any person who pays the required membership fee and participates to the purpose of the KRRC shall be a member. Member must reside and live in the U.S.
Sec. 2: Membership period. The membership year begins in the month membership fee is paid and shall extend for one year.
Sec.3: Membership fee: The membership fee shall represent the member's fair cost encountered during the membership year. Changes in membership fee must be approved by the Board of Directors.
Sec. 4: Membership type. Status of "Full Member" shall be granted for those who have completed at least one (1) full marathon (26.2 miles or greater). All other members shall be granted a status of "Associate Member" until the member has completed a full marathon or greater.
Sec. 5: Duties. The duties of the KRRC members are as hereinafter set forth in the Bylaw and must abide them in good faith.
- Members shall not defame the name or character of the organization.
- Members shall not cause any physical or mental harm to other members or the general public.
- Members shall participate in club activities and tournaments.
ARTICLE IV - Officers
Sec. 1: The appointed officers of the KRRC shall be a President, Secretary, Treasure, and Director. These officers shall perform the duties prescribed by these bylaws adopted by the KRRC.
Sec. 2: In the event that an officer resigns before the term is complete, the remaining officers on the Board may appoint an KRRC member to serve in that position in an "acting" capacity. An election must be held on timely basis after the resignation is received to duly elect a replacement.
Sec.3 : Duties. The duties of the officers are as hereinafter set forth and such others as may be designed the KRRC and/or the Board of Directors from time to time.
- President: The President shall lead, manage, motivate, and support the Board of Directors and the KRRC and shall represent the KRRC to the general public. The President shall establish goals and policies and procedures, call meetings when necessary, preside at all meeting, appoint special committees as necessary, see that such appointees fulfill their responsibilities and perform other duties as stated in the Bylaws.
- Secretary: The Secretary shall be responsible for keeping records and minutes of all meeting. The Secretary shall inform the KRRC members of upcoming meeting and activities. The Secretary shall be responsible for correspondence both external and with KRRC members.
- Treasurer: The Treasurer shall be responsible for keeping all monies of the KRRC, records of income, records of expenses, collection of income owed, and other financial matters. The Treasurer shall assist in the preparation of the annual budget, and shall administer the current budget. The Treasurer shall maker periodic report of the clubs' financial status and shall arrange for an annual financial audit.
- Director: Director shall be responsible for development of the club and support the board of members.
ARTICLE V - Meetings
Annual: The annual meeting of the KRRC shall be held in the first Sunday in the month of July.
Special Meeting: The KRRC shall meet upon call of the President or Board of Directors. The purpose of the meeting shall be stated in the call.
Board of Directors Meeting: Meetings shall be held on a day and time determined by the Board of Directors on a necessity basis.
ARTICLE VI - Amendments
Amendments to the Bylaws shall require 2/3 of the votes from members of the Board of Directors.
ARTICLE VI - Board of Directors
Sec.1: The officers of the KRRC shall constitute the Board of Director.
Sec. 2: The Board of Directors shall have general supervision of the affairs of the KRRC between its business meeings, fix the hour and place of the meetings, make recommendations to the KRRC, and shall perform such other duties as are specified in these Bylaws.
ARTICLE VII - Indebtedness
The KRRC shall incur no liabilities greater than it assests.
ARTICLE VIII - Dissolution
As the Korean Road Runners Club is a not-for-profit organization, in the event of its dissolution any remaining assets shall be donated by the members remaining to an organization qualified under section 501(c)3 of the Internal Revenue Code.
